The proposed baseline agreement every transacting seller must accept before listing products, receiving orders, or receiving payouts.
This source draft is not a published database agreement. It cannot be accepted, relied upon, or used to activate an account or transaction.
Proposed section 1
Seller identity and authority
The seller must identify the legal person or entity responsible for each sale, maintain accurate contact and payment information, and have authority to enter the agreement and use submitted names, brands, menus, photographs, and other content.
Proposed section 2
Eligibility, permits, and changes
The seller must hold every registration, permit, license, exemption, inspection, training credential, kitchen authorization, and insurance required for its products, locations, destinations, and fulfillment methods. The seller must promptly disclose expirations, restrictions, recalls, enforcement actions, ownership changes, or material operational changes.
Proposed section 3
Products and food safety
The seller is responsible for lawful products, accurate ingredients and allergens, preparation-site assignment, labels, storage, temperature control, traceability, recall cooperation, safe packaging, and truthful health or production claims. Platform approval never replaces the seller's obligations.
Proposed section 4
Catalogue, pricing, and inventory
The seller controls authorized catalogue content and must keep descriptions, units, availability, prices, taxes, fulfillment options, preparation times, and inventory accurate. FOODERCE may reject or pause incomplete, misleading, unavailable, unsafe, or ineligible listings.
Proposed section 5
Orders and handoff
The seller must accept or reject within the approved window, prepare only the confirmed order, document substitutions, use approved preparation and pickup sites, verify handoff, protect customer information, and follow cancellation, recall, and incident procedures.
Proposed section 6
Fees, payouts, taxes, and losses
The approved fee schedule will control commissions, processing costs, payout timing, reserves, refunds, disputes, chargebacks, taxes, tips, negative balances, and offsets. Values remain unset in this draft and no seller may rely on projected pricing.
Proposed section 7
Records, review, and cooperation
The seller must retain required records, answer verification and consumer inquiries, cooperate with regulators and safety investigations, and permit proportionate re-verification. Private evidence must not be displayed as a public badge or disclosed beyond an authorized purpose.
Proposed section 8
Suspension, removal, and termination
FOODERCE may need to pause products, orders, payouts, or the account for expired credentials, safety concerns, legal restrictions, fraud, nonperformance, or agreement breach. The final agreement must provide appropriate notice and appeal except where immediate action is necessary.
